The purpose of the present public contract shall be conclusion of a Framework Agreement with one bidder under Sec 89 of the Act to satisfy the Contracting Authority's needs in the area of protection and commercialization of intellectual property rights (hereinafter referred to as the ‘IPR’) produced by the Contracting Authority's research institutions in connection with the Projects as well as the use of research and development infrastructure created and administered in connection with the Projects. The Twinning Framework Agreement constitutes a framework agreement within the meaning of Sec 11 of the Act. The performance to be provided under the present public contract shall be twinning, specifically provision/making available of particular know-how by transferring the bidder's ‘first hand’ own expertise, experience and skill set in the field of protection and commercialization of IPR produced by the Contracting Authority's research institutions as well as the use of administered research and development infrastructure by providing consultations, on-site advisory services at the Contracting Authority's institutions and workplaces and by providing internships for the Contracting Authority's at the bidder's workplaces (hereinafter referred to as the ‘Twinning’ and/or the ‘Twinning Activities’). Bidders shall implement Twinning with the Contracting Authority (‘Contracting Authority’) based on individual/specific orders to be issued by the Contracting Authority in line with Sec 92(1)( a) of the Act. The anticipated total extent of the provided services (hours devoted to the Twinning Activities by the bidder/supplier of the services) shall amount to 924 hours. Other details are given in the tender documentation.

This procedure follows as a subsequent open procedure after the simplified below-the-threshold procedure with the name Twinning which was published on the profile of the Contracting Authority (http://www.e-zakazky.cz/Profil-Zadavatele/74e987e1-b4a1-4571-b8b6-2cd93fe6f932/Zakazka/P14V00000089) in accordance with the Act and cancelled in August 2014 — with the number of the public contract 494784. The Contracting Authority of the above mentioned below-the-threshold public contract for services administered in the form of simplified awarding procedure pursuant to Sec. 38 of Act No. 137/2006 Coll. on Public Contracts, as amended, (hereinafter the ‘Act’) cancelled the above mentioned awarding procedure based on Sec. 84 (1) e) of the Act, because only one bid was received. The Tender Documentation is without any significant changes except for a different bid submission deadline, a term for an opening of envelopes and an anticipated commencement date. It contains also a different method of demonstrating fulfilment of qualification due to a different type of awarding procedure.

Basic qualification criteria are met by a bidder/Supplier who fulfil Sec 53 of the Act. Fulfilment of professional qualification criteria will be demonstrated by bidders who submit: a) a certificate of registration/incorporation, if it is registered, or extract from any other similar evidence, if registered therein, not older than 90 days as of the date when qualification is demonstrated, i.e. as of the date of expiry of the deadline for submission of bids, or another document attesting to the establishment, existence and legal form of the bidder.

Payment conditions are stated in the binding draft Twinning Framework Agreement, which is attached as an Annex of the tender documentation. The price for the public contract authority will be paid in EUR on the basis of tax documents — invoices. Invoice address is the address of the contracting authority — Fyzikální ústav AV ČR, v.v.i., Na Slovance 2, 182 21 Praha 8. Bidders shall be required to accept the wording of the binding draft Twinning Framework Agreement, as attached hereto in the form of Annex 3 of the tender documentation, without reservations; this draft contract contains all commercial conditions and payment terms applicable to the present public contract. Applicant shall only fill in that parts of the binding draft contract that are highlighted in yellow colour. Any other amendments to the given wording will cause an exclusion of the applicant from the tender procedure.
