The purpose of the present public contract shall be conclusion of a Framework Agreement with one bidder under Sec 89 of the Act to satisfy the Contracting Authority's needs in the area of protection and commercialization of intellectual property rights (hereinafter referred to as the “IPR”) produced by the Contracting Authority's research institutions in connection with the Projects as well as the use of research and development infrastructure created and administered in connection with the Projects. The Twinning Framework Agreement constitutes a framework agreement within the meaning of Sec 11 of the Act. The performance to be provided under the present public contract shall be twinning, specifically provision / making available of particular know-how by transferring the bidder's “first hand” own expertise, experience and skill set in the field of protection and commercialization of IPR produced by the Contracting Authority's research institutions as well as the use of administered research and development infrastructure by providing consultations, onsite advisory services at the Contracting Authority's institutions and workplaces and by providing internships for the Contracting Authority's at the bidder's workplaces (hereinafter referred to as the “Twinning” and/or the “Twinning Activities”). Bidders shall implement Twinning with the Contracting Authority (“Contracting Authority”) based on individual / specific orders to be issued by the Contracting Authority in line with Sec 92(1)( a) of the Act. The anticipated total extent of the provided services (hours devoted to the Twinning Activities by the bidder / supplier of the services) shall amount to 924 hours. Other details are given in the tender documents.

Basic qualification criteria are met by a bidder / Supplier who fulfi Sec 53 of the Act. Fulfilment of professional qualification criteria will be demonstrated by bidders who submit:a) a certificate of registration / incorporation, if it is registered, or extract from any other similar evidence, if registered therein, not older than 90 days as of the date when qualification is demonstrated, i.e. as of the date of expiry of the deadline for submission of bids, or another document attesting to the establishment, existence and legal form of the bidder.

The price for the public contract authority will be paid in EUR on the basis of tax documents - invoices. Invoice address is the address of the contracting authority – Fyzikální ústav AV ČR, v.v.i., Na Slovance 2, 182 21 Praha 8. The maturity of tax documents - invoices is 30 days. Bidders shall be required to accept the wording of the binding draft Twinning Framework Agreement, as attached hereto in the form of Annex 3 - tender documentation, without reservations; this draft contract contains all commercial conditions and payment terms applicable to the present public contract. Bidders shall merely fill in their identification information into the Twinning Framework Agreement along with prices offered (i.e. fill in the highlighted parts).

Lodging objections in due course and in good time is conditional for filing a proposal to review practices of the contracting entity to the Office for the Protection of Competion in the same matter. The objections must be delivered within 15 days from the date when the contractor found the act of the contracting entity, which is about to oppose, out. The contracting entity has to deal with the objections within 10 days. The proposal has to be delivered to the Office for the Protection of Competion and to the Contracting Authority within 10 days from the date of the delivery to the contractor of the decision under which the contracting entity has decided the objections or within 25 calendar days from the date of dispatch of the objections by the contractor, if the contracting entity has not decided the objections.
